General Terms and Conditions of Trend-Design GmbH, Herford, Germany

1. Quotation – Placing of orders – Order acceptance
All quotations, deliveries, orders, and other agreements are exclusively subject to the following General Terms and Conditions. Any agreements deviating thereof require the written form. These terms and conditions shall also be regarded as accepted by placing an order or accepting a shipment of goods. Any terms and conditions in contradiction to the herein mentioned shall only be applicable if previously accepted by us in writing.

All quotations for our products shall remain subject to change prior to our order confirmation. An order shall be considered completed only after we have confirmed it in writing or when it has been directly delivered without a confirmation. Partial deliveries are permissible.

In the event of force majeur, labour disputes or other unforeseeable events, impediments concerning the obligations for delivery and service, the delivery time is subject to an adequate extension.
Should any of the aforementioned circumstances make a delivery or provision of services completely or partially impossible or unbearable, we shall be entitled to withdraw from the agreement fully or in part. This shall also be applicable in the event that we should already be in delay with the delivery. Should our sub-suppliers fail to meet their obligations in spite of our efforts, we shall be entitled to withdraw from the contract, in which case we shall agree to cede possible claims against the sub-supplier to the buyer.    

2. Prices and Terms of Payment
All prices are net and subject to  VAT. They are subject to change. The goods shall remain property of Trend-Design GmbH until final payment has been made.

3. Defects, Liability, and Guarantee
The orderer is obligated to promptly and thoroughly check the shipment after receipt and notify us immediately after receipt of goods about any obvious defects or deficiencies; this also applies to the scope of the delivery.

Any kind of indemnity claims from fault-based liability against Trend-Design GmbH or our assistants due to violation of primary and secondary contractual obligations, from fault prior to or during conclusion of a contract, or from tort are excluded unless intent and gross negligence on our part exist.

4. Place of Performance and Legal Venue
Place of performance for services for both contractual parties shall be Herford, Germany.
The legal venue for any disputes arising from the contractual relationship shall be Herford local court. The contractual relationship shall be subject to the German law. Regarding the relationship with non-traders, the aforementioned regulations apply as far as the law concerning the policy on legislation of General Terms and Conditions does not comprise any conflicting regulations.

5. Final Provisions
In the event that the previous provisions are or become of no legal force, in addition,  the validity of the contract shall remain unaffected by it.
